## ![](https://capture.ee/wp-content/themes/capture-site/assets/capture-logo-white.svg) Legal work from Capture

Capture is a licensed trust and company service provider, and legal work is one part of what we do for your company.

The same firm provides the legal address and contact person and keeps the company’s accounts.

When a change in the company has a tax side, it is answered in the same place.

## Frequently asked questions

What documents do you need? ID documents of the people involved and the company’s details. A power of attorney signed abroad needs a notary’s certification and, for most countries, an apostille.

Does a share transfer need a notary? Yes, unless the share capital is at least €10,000, fully paid, and the articles of association remove the requirement. We book the notary in Estonia and prepare a power of attorney for anyone who cannot attend.

How long does a liquidation take? At least six months. Creditors have four months from the published notice to make their claims, and the company can be deleted no earlier than six months after the notice.

Can a deleted company be restored? Yes, within three years, if it was deleted for missing annual reports or a missing contact person. The missing reports or a new contact person are filed together with the owners’ decision to restore the company. Restoration is quoted.

How much does tax advice cost? €90 an hour. We confirm the expected time before we start, and the advice is given in writing.

What is the difference between liquidation and deletion? A company that never started operating can be deleted on request when all board members and shareholders confirm it, for €300. A company that has operated goes through liquidation, which takes at least six months, for €600.

Can a company with debts be closed? Only if it can pay them. Creditors are paid first. If the assets do not cover all debts, the liquidators must file for bankruptcy instead. Liquidation with debts is quoted.
