Two ways to close a company
Liquidation is for a company that has operated. The shareholders decide to dissolve it with at least two thirds of the votes and appoint liquidators, usually the board members. A notice is published and creditors have four months to make their claims. The accounting continues until the liquidation report and the final report are prepared, and the company is then deleted.
Deletion on request is for a company that never started business. All board members and all shareholders confirm it, and the company is deleted without liquidation. The commercial register publishes a notice of the deletion at least three months before it takes place.
Why close it properly
A company that simply stops filing annual reports does not disappear quietly. It is fined, repeatedly, until the report is filed, and it is deleted only after a warning and a deadline. Closing it properly ends the company in an orderly way, with its accounts and debts settled.
When you need it
- The business has ended and the company is no longer needed.
- The company was formed but never used.
- The business is moving to another company or another country.
How we help
We prepare the shareholders’ decision, file the liquidator details and publish the notice to creditors. During liquidation the company keeps its legal address with us, and its contact person if the liquidators live abroad. We keep the accounting and prepare the liquidation report.
For a company that never started operating, we prepare the confirmation for the board members and shareholders to sign and file the application.
