Company Restoration

A company deleted for missing annual reports or a missing contact person can be restored within three years.

What restoration is

The commercial register deletes a company that has not filed its annual report, or that needs a contact person and has none. Deletion comes after a warning and a deadline. A company deleted on either ground can be restored and continue its business, as long as the application is made within three years of the deletion.

Restoration brings back the same company. The business continues under it instead of under a new one.

When you need it

  • The annual reports were not filed and the company was deleted.
  • The contact person service ended and no new contact person was appointed.
  • You want to keep using the company and its name.

How it works

We check why the company was deleted and when. If it was deleted for missing annual reports, the overdue reports are prepared and filed. If it was deleted for a missing contact person, we become its contact person. The shareholders then decide to restore the company, and we file the application with that decision.

Frequently asked questions

How long do I have?

Three years from the date of deletion.

Do the overdue annual reports need to be prepared?

Yes, if they are the reason the company was deleted. We prepare them as part of the work.

What if the company was deleted for another reason?

Restoration to continue the business covers deletion for missing annual reports or a missing contact person. Other cases are assessed individually.
