How a share transfer works
Shares in an Estonian private limited company are transferred by an agreement certified by a notary. The notary reports the transfer, and it takes effect when the new owner is entered in the list of shareholders.
The notary can be left out only if the share capital is at least €10,000, fully paid, and the articles of association allow a written transfer.
Before the transfer
When shares are sold to an outsider, the other shareholders have one month to buy them first, unless the articles of association say otherwise. The articles can also require the consent of the other shareholders or the board.
When you need it
- You are selling your company or part of it.
- A new partner joins as a shareholder.
- Shares move within a group or to a holding company.
How we help
We agree the terms with both sides, prepare the documents and book the notary in Tallinn. A party abroad signs a power of attorney, either at a local notary with an apostille or remotely on a video call with a European notary, and our representative signs at the notary appointment. After the transfer, the beneficial owner details are updated.
